Document version: 87 · Prepared 20 October 2026. These terms govern services supplied under the SYS24 brand. The contracting supplier's legal identity, address, tax details where applicable and contact particulars are those on your accepted order, quotation or invoice. Please read these terms together with that document, the Service Level Agreement and Privacy Notice. Ask us to clarify anything before ordering.
1. Agreement, scope and consumer rights
“We”, “us” and “SYS24” mean the supplier identified in your accepted order. “You” means the customer named in that order, including an organisation represented by its authorised user. An order becomes binding when accepted by us and any stated acceptance or initial-payment conditions are met. Browsing a website alone does not purchase a service. Online checkout acceptance, accepted quotations and signed orders can record your agreement. Keep copies of the applicable documents.
The order defines deliverables, price, currency, billing interval, term, included usage, dependencies and any special conditions. Mandatory South African law prevails, followed by expressly agreed special conditions, the order, a specific service schedule, these terms and the general SLA. Marketing descriptions do not expand an agreed deliverable. Nothing excludes rights or remedies that cannot lawfully be excluded under the Consumer Protection Act, Electronic Communications and Transactions Act, POPIA or other applicable law. Cooling-off, fixed-term cancellation, fair-treatment and statutory refund rights apply where the law makes them applicable.
2. Services covered
These terms cover our CRM and business platforms; SaaS subscriptions including Dignityflow and Workmin; trials, licences and optional modules; custom websites, online stores, applications and mobile solutions; hosting, cloud and server services; domains and related DNS or email; managed IT, remote support and recurring maintenance; automation, AI and API integrations; communications, SMS and identity or other verification credits; reseller and white-label arrangements; and hardware, POS or self-service solutions where ordered. Availability and the included functionality depend on your specific plan, jurisdiction and third-party providers.
3. Accounts, authority and security
Supply accurate contact, billing and service information, keep it current and nominate authorised administrators. You are responsible for access you grant to your staff, agents and customers and for lawful instructions from those accounts. Use strong unique passwords, available multi-factor authentication and appropriate role permissions. Do not share credentials or expose API keys in public websites, forms, repositories or client-side code. Report suspected compromise promptly and cooperate with containment. We may verify authority before sensitive changes, disclosures, exports or restoration.
4. Prices, invoices and payments
The accepted order states pricing, currency and whether taxes, setup, usage, third-party, transaction, delivery or renewal charges are included or additional. Recurring prices apply to the stated billing period; setup or once-off modules are separate unless expressly included. Discounts, trials and promotions follow their disclosed conditions. Price changes for future periods will be communicated with any notice and cancellation rights required by your agreement and law.
Use an enabled payment method shown for the product or invoice. Payment options can differ by service. PayFast, Whop, Paystack, bank transfer or other processors may be available according to configuration; their own payment terms also apply. A redirect, return screen, bank screenshot or email alone is not proof of settled payment. Online payments are reconciled against authenticated provider notifications or verified provider records; EFT requires reconciliation. Allow for banking or provider delays and contact support rather than paying twice while confirmation is pending. Genuine errors will be investigated and corrected with a proper audit trail.
Recurring collection requires the relevant authority or mandate. Keeping a payment token or card reference does not itself authorise unrelated charges. Card updates use supported processor flows; your bank or processor may apply its own verification or authorisation procedures. We cannot promise every processor supports a zero-value verification. You remain responsible for valid payment arrangements and undisputed amounts due. Raise invoice disputes promptly with the invoice reference; we will investigate fairly and correct errors without limiting statutory rights.
5. Trials, renewals, cancellation and refunds
A trial provides the features and limits disclosed at signup. Features, branding changes, integrations and paid modules can remain locked until the appropriate entitlement is active. A paid upgrade activates only after verified payment or authorised manual activation. Whether a subscription renews automatically, its notice period and when cancellation takes effect must be disclosed in the order or checkout. An expired trial does not automatically become an authorised paid mandate merely because an account exists.
Request cancellation through the supported portal or in writing so that identity, affected services and effective dates can be confirmed. Stopping a card or closing a browser does not cancel a service agreement. We will apply valid contractual and statutory cancellation rights and explain any lawful outstanding charges or reasonable cancellation amounts. Refunds, including for defective or incorrectly supplied services, are assessed under the agreement and applicable law. There is no blanket exclusion of statutory refunds. Third-party domain, licence or usage charges may be irrecoverable where already validly incurred, subject to law.
6. Suspension, termination and reinstatement fees
Unpaid accounts, serious security risks, unlawful use, material breach or binding legal directions can lead to restriction, suspension or termination. We will give the notice and opportunity to remedy required by the agreement and law. Urgent protective action may be necessary where continued access threatens systems, people or others' data. We will explain the reason and reasonable next steps where legally and operationally possible. Suspension does not automatically erase an accrued debt or extend a domain registration.
A reinstatement fee may be charged only when disclosed and agreed for the affected recurring service and lawfully applicable. Its percentage and waiting period must be communicated before they apply; an internal administrator setting alone does not establish customer agreement. The calculation is the agreed percentage multiplied by the full regular recurring subscription amount for one billing period, before applicable tax. It is not calculated on previous penalties, once-off setup charges, remaining days, the outstanding balance or a whole multi-year contract value. Any applicable tax is shown on the invoice.
The waiting period runs from the recorded billing suspension or billing-related termination date. A termination following the same suspension retains that episode's original date. Only one reinstatement fee is added per interruption episode. Ordinary paid voluntary cancellation does not itself trigger a fee. The invoice and notification identify the fee and updated balance. If a checkout is already pending, its amount is protected and any eligible fee is dealt with separately after reconciliation. This is distinct from any separately disclosed lawful late-payment charge; duplicate or unfair charges can be disputed. We will review proportionality, the circumstances and applicable consumer protections.
Payment clears financial requirements but does not guarantee that deleted data, released domains, discontinued licences or terminated infrastructure can be recovered. Restoration may require verification, capacity, provider action, security remediation or a new order, all explained before additional paid work. Request an export before planned cancellation and maintain independent copies of critical data.
7. SaaS licences and optional modules
A subscription grants the agreed, limited right to use the platform during the active entitlement. It does not transfer platform source code or ownership. User, workspace, storage, transaction and module limits apply as disclosed. Do not bypass licence checks, resell access without permission or attempt unauthorised access to another tenant. Optional paid modules unlock only the purchased workspace and agreed functions. Once-off module purchase does not silently include perpetual hosting, support, provider subscriptions, usage credits or future major products unless the order says so.
Features can evolve to maintain security and compatibility. Material reductions in contracted functionality will be handled with applicable notice and remedies. Integrations rely on supported APIs and valid credentials. Each customer remains responsible for their own business records, approvals, employment decisions, member and beneficiary administration, payroll inputs, tax submissions and lawful use of outputs. Software calculations and reports require appropriate review.
8. SMS, verification, automation and AI
Credit packages, enabled methods, units consumed, prices and expiry conditions, if any, must be disclosed before purchase. A verification method can consume a different number of credits from another method. Credit assignment depends on verified payment or authorised approval and provider availability. Approved shared verification credits may be used only within enabled methods and platform rules. SMS delivery, provider lookups and third-party processing are not guaranteed to succeed for every destination or record. Any charge for a failed or partial request follows the disclosed provider and product rules; report unexpected deductions for investigation.
You must have lawful authority to submit identity numbers, photographs, bank details, deceased status, beneficiaries' or children's information. Verification responses depend on source systems and are evidence to assess, not a guarantee of identity, life status, creditworthiness or entitlement. Do not make irreversible high-impact decisions on an ambiguous response. Saved reports may be reused only while appropriate, current and lawfully retained; a new query may be required when circumstances change. AI output can be inaccurate, incomplete or biased and requires human review. Do not submit unnecessary sensitive data or use integrations for prohibited automated decisions, spam or unlawful surveillance.
9. Domains, hosting, email and backups
Domain search results and quotations do not reserve a name. Registration or transfer is complete only after registry or registrar confirmation and payment and verification requirements are satisfied. Registry policies, eligibility requirements, dispute procedures and renewal, redemption or transfer rules also apply. Confirm registrant details and monitor renewal notices. Expired domains can stop resolving, incur disclosed registry charges or become unavailable for recovery. DNS and mail changes can take time to propagate.
Hosting resources and acceptable use are limited to the agreed package. Maintain supported software, lawful content and reasonable access controls. We may isolate harmful workloads proportionately. Backups, retention, off-site copies and restoration assistance are included only as specified in the plan. Backups are not an unlimited archive and a successful restoration is not guaranteed from every incident. Confirm backup scope and test recovery. Keep an independent, current copy where loss would materially affect your business. Agreed recovery objectives and our own legal duties remain enforceable.
10. Development, IT maintenance and hardware
Development and implementation follow the approved scope, milestones, dependencies and acceptance criteria. Provide timely content, feedback, access and lawful materials. Requested changes can require a written change order affecting price and dates. We will identify material dependency delays. Acceptance, defect correction and warranty periods follow the order and statutory rights; silence is not a waiver of a statutory remedy. Support and future enhancements are included only to the extent agreed.
Managed IT and maintenance cover the listed devices, sites, software, tasks and support window. Work outside scope, on-site attendance, after-hours intervention, third-party licences and replacement parts require the agreed charging basis. Maintenance reminders and scheduling do not prove work is complete. Remote access requires authority, and administrators should be available for disruptive work or approvals. Hardware supply, ownership, delivery, risk, returns and warranty are defined by the order subject to mandatory law. Manufacturer or supplier warranties supplement rather than replace statutory rights.
11. Content, intellectual property and acceptable use
You retain rights in your data and materials and grant the permissions needed to host, process, transmit, back up and support the service. You warrant lawful rights to provide them. Bespoke deliverable ownership, source delivery and handover depend on the written order and payment conditions. Our pre-existing tools, reusable components, know-how and third-party products remain with their owners, with agreed usage licences. Open-source and third-party licence conditions continue to apply.
Do not use services for fraud, malware, unauthorised access, rights infringement, unlawful discrimination, unlawful personal-information processing, harassment, prohibited content or unsolicited unlawful communications. Do not defeat security or overwhelm shared infrastructure. Resellers must pass appropriate duties to their customers, identify the actual service provider where required and avoid promising unsupported SLAs. We may investigate credible abuse reports, preserve evidence lawfully and act proportionately.
12. Confidentiality and personal information
Each party must protect non-public business, technical and personal information received through the relationship, use it for authorised purposes and limit access to people with a need to know and appropriate duties. Lawful disclosures to advisers, service providers, authorities or courts may be necessary. Confidentiality does not prevent lawful reporting or exercising rights. The Privacy Notice explains our own processing. Where we operate customer-controlled records, a suitable written operator arrangement must define instructions, security, confidentiality, subprocessing and incident handling. You remain responsible for your lawful purposes and notices.
13. Warranties, liability and events outside control
We will exercise the skill, care and service quality required by the agreement and applicable law. No technology service is wholly free of interruption or attack. We do not promise outcomes beyond the agreed scope or guaranteed source data. Any liability limits, insurance commitments or exclusions must be expressly agreed and are effective only to the extent lawful. These general terms do not create an undisclosed monetary liability cap and do not exclude liability that cannot be excluded, including statutory consumer remedies or responsibility for unlawful conduct.
Events genuinely outside reasonable control may affect performance. The affected party must notify the other where practicable, mitigate and resume performance reasonably. Such events do not excuse avoidable negligence, eliminate accrued rights or automatically justify retaining payment for a service never supplied. Long disruptions will be addressed under the order and law, including applicable cancellation or refund rights.
14. Complaints, changes and contact
Contact us through the client Help page or the support details on your invoice, quoting your service and invoice reference. For general contractual queries use contact@sys24.tech. We will acknowledge and investigate complaints and explain escalation options. South African law governs unless an expressly agreed arrangement lawfully provides otherwise. Courts, regulators, ombuds and other competent consumer channels retain their lawful jurisdiction; informal discussions do not remove your right to seek relief.
We may update these terms prospectively. Material changes affecting an existing agreement require the applicable notice, consent or cancellation opportunity; publication alone does not retrospectively authorise new fees. The accepted version and order govern accrued transactions. If a provision is unenforceable, the remaining provisions operate only so far as lawful. These terms should be read with our SLA and Privacy Notice.
